The firm

Borderless Legal is a Sofia-based law firm. Companies, entrepreneurs, investors and private individuals, Bulgarian and foreign, come to us for legal and consulting help.

Bulgarian law is broad, and we work across much of it. Our core is corporate and commercial law, tax structuring, real estate, contracts, litigation and representation, investment and cross-border matters.

Our clients include Bulgarian companies and individuals, and also foreigners who want to invest, run a business, buy property or settle in Bulgaria.

A legal opinion is not where our work stops. We first find out what the client wants to achieve, then point out the legal and practical risks, and then propose a solution that works and fits the client's business and personal goals.

Areas of practice

Company and commercial law

Companies and entrepreneurs turn to us when they set up, run, grow or restructure a business.

We help clients pick and build a suitable corporate structure. We also deal with partner and shareholder relations, transfers of shares and stakes, changes of management, raising or reducing capital, reorganisations, and the continuing corporate work that follows.

We prepare, negotiate and carry out commercial contracts and complex business deals too. The aim is a legal structure that matches how the client really plans to run the business.

Taxes and structuring

Tax planning belongs in any properly structured business.

Our advice covers the tax effects of different business models and transactions, how activities are structured, cross-border operations, how functions and risks are shared between related parties, and other questions that bear directly on the business's economic efficiency.

When it helps, we work alongside tax and accounting specialists. That way the legal and tax structures are looked at together.

Contracts and obligations

A good share of what we do each day is about a business's contracts with counterparties, investors, suppliers, clients and partners.

We draft and review contracts and advise during negotiations. We also assess what follows in law from non-performance, late performance, termination, penalties, damages and other kinds of contractual and non-contractual liability.

If a dispute breaks out, we look for an outcome that protects the client's real economic interest as well as their formal rights.

Property and real estate

Bulgarian and foreign clients get our legal help when they buy, sell or invest in real estate.

We analyse title and property documents, check for encumbrances and other legal risks, and advise on how the transaction should be structured and on its terms.

We also work on preliminary contracts, sale and purchase agreements, construction and investment projects, and disputes about title or about whether contractual obligations were performed.

Disputes and court work

Our lawyers act for clients in civil, commercial and administrative courts, and in dealings with the competent state authorities.

Disputes we take on arise from contracts, claims, breach, penalties and damages, trading relationships, real property and other civil or commercial law issues.

We look at a dispute from more than one side: which procedural remedies exist, but also what it will cost, how long it will take and what the client really needs.

Investing and starting a business in Bulgaria

We plan and carry out investments and business projects in Bulgaria together with foreign investors and entrepreneurs.

Typical tasks: selecting a corporate structure, incorporating a company, drafting contracts, setting up banking, tax structuring, acquiring assets, buying real estate, and handling the other legal issues of entering the Bulgarian market.

If a project means foreign nationals have to settle in Bulgaria, we also give legal help with visa, immigration and citizenship procedures.

Visas, residence and citizenship

We assist foreigners with visas, residence and work permits, family reunification and the acquisition of Bulgarian citizenship, and with any other procedure governed by Bulgarian migration and citizenship legislation.

Cross-border work

Our clients come from many jurisdictions, and their matters often have corporate, tax, investment and immigration sides all at once.

Knowing Bulgarian law is only part of it. We also have to grasp how the whole international transaction or business relationship is put together, and coordinate its different legal and practical parts.

Frequently we act as the foreign client's legal contact in Bulgaria, from first research and structuring, through carrying out the project, to the legal support afterwards.

How we think

We think legal advice has to be accurate and practical, arrive on time, and be understandable to the person receiving it.

Citing a large number of statutory provisions does not make a lawyer valuable. What counts is understanding the problem, weighing the risk and turning the legal options into a concrete strategy.

That is why "What does the law say?" is not the only question we ask. We put equal weight on a second one: "What is the most sensible solution for the client in this particular situation?"

Adv. Boris Iliev is the founder of Borderless Legal. A lawyer, he gained his professional experience at established law firms in Sofia. His work spans tax law, real estate, litigation in civil and administrative matters, corporate and commercial law, and lawful migration together with Bulgarian citizenship.

Adv. Ivelin Uskov belongs to the Sofia Bar Association and has practical experience of civil and procedural law. Mainly, he handles judicial debt collection, defends debtors in disputes over consumer and payday loan agreements, and advises on real estate.

Adv. Uskov has practical experience in proceedings to establish and collect monetary claims, covering order-for-payment and ordinary civil proceedings, and in representing creditors as well as debtors. In defending debtors against payday-loan companies, he looks at the contract, how much is claimed and on what basis, the interest, fees and penalties charged, and whether the collection steps taken were lawful.

Real estate is another part of his work: property transactions, title due diligence, checking ownership documents, sale and preliminary contracts, and disputes about rights in real estate.
